Introduction 

These Terms of Service ("Terms", "Terms of Use") govern your access to and use of the software, applications, and related services (collectively, the "Service") provided by Saris AI Inc. ("Provider", "we", "our", or "us"). By using the Service, you ("User", "you") agree to be bound by these Terms. 

If you are accessing the Service on behalf of your employer or another entity (such as a financial institution), you represent that you have the authority to bind that entity to these Terms, which will then apply to such entity. 

Access to the Service 

The Service includes: 

• A cloud-hosted web application 
• A desktop application for Windows 
• Extensions or add-ins for the browser and various Microsoft Office applications (e.g. Outlook, Excel) 

Your access to the Service is provided under a valid Master Service Agreement ("MSA") between your institution and Provider. These Terms supplement the MSA and govern your individual use of the Service. 

User Eligibility and Account Responsibilities 

• You must be an authorized employee, agent, or contractor of the institution with which the valid MSA is under 
• You must use the account provisioned for you to log in and access the Service You are responsible for maintaining the confidentiality of your login credentials and for any activity under your account 

Acceptable Use 

You agree not to: 

• Use the Service for unlawful, harmful, or fraudulent purposes 
• Reverse engineer, decompile, or disassemble any part of the Service
• Interfere with the security or integrity of our systems or networks, including attempting to gain unauthorized access to, damage, or disrupt any parts of Service 
• Attack Service via a denial-of-service attack or a distributed denial-of-service attack 
• Upload or transmit malware or malicious code 
• Use the Service to transmit sensitive data not permitted by your institution's policies (e.g., customer PII or payment card data, unless explicitly authorized) 

No Use By Minors 

The Service is intended only for access and use by individuals who are at least eighteen (18) years old. By accessing or using the Service, you warrant and represent that you are at least

eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service. 

Service Availability and Updates 

• We aim for high availability but do not guarantee uninterrupted access We may deploy updates to any component of the Service at any time, including security patches, performance improvements, and feature changes 
• Use of outdated versions may impair functionality 

Data Use and Privacy 

• Your institution’s data processed through the Service is governed by the MSA We may collect usage metadata and diagnostic data to improve the Service and support users

Intellectual Property 

• All software, content, and materials provided as part of the Service are owned by or licensed to Provider 
• You may not copy, modify, distribute, or create derivative works from any part of the Service except as expressly permitted 

Error Reporting & Feedback 

You may send feedback, including error reports, suggestions, ideas, complaints, or other input about the Service, to support@saris.ai ("Feedback"). You agree that: (i) you hold no intellectual property or other rights in the Feedback; (ii) the Provider may independently develop similar ideas; (iii) the Feedback is non-confidential and non-proprietary; and (iv) the Provider has no confidentiality obligations regarding it. If ownership transfer of the Feedback is not possible under applicable law, you grant the Provider and its affiliates an exclusive, irrevocable, perpetual, royalty-free, transferable, and sublicensable license to use, modify, distribute, and commercialize the Feedback for any purpose. 

Termination and Suspension 

• Your access may be suspended or terminated if you violate these Terms, upon termination of your institution's agreement with us, or if your institution requests access be revoked 
• Upon termination, your right to access and use the Service ends immediately 

Disclaimer of Warranties 

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. 

Modifications 

We may update these Terms from time to time. Continued use of the Service after such changes constitutes your acceptance of the revised Terms. We will notify users of material changes where required. 

Governing Law 

These Terms shall be governed by and construed in accordance with the laws set forth in the governing law clause of the MSA between your institution and Provider. 

Acknowledgement 

BY USING SERVICE PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
